1. Introduction

These Terms and Conditions (“Terms”) govern your use of the BoostOps platform, services, and any related content or technology (collectively, “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use our Services.

2. Eligibility and Account Registration

  • Age Requirement: Users must be at least 18 years old.
  • Account Ownership: The individual or entity who registers an account is the account owner. Business entities must designate an authorized representative to manage the account.
  • Account Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary.
  • Transfer and Disputes: In cases of disputed ownership, BoostOps reserves the right to suspend or terminate access until rightful ownership is resolved.

3. Platform Use and Compliance

  • Permitted Use: BoostOps is intended for lawful business use. You agree to use it only as intended and comply with all relevant laws and regulations.
  • Restrictions: You may not reverse engineer, decompile, or disassemble the platform or create derivative works without explicit permission.
  • Compliance: You are responsible for ensuring your use and your customers’ use of the platform are compliant with all applicable laws, including data privacy regulations.

4. Subscription and Payment Terms

  • Billing Cycle: Payments are due when services are availed, with a monthly billing cycle. The next payment date is exactly one month from the date of the first payment (e.g., if paid on October 15, the next payment is due on November 15).
  • Cancellation: Users may cancel their subscription by providing one week’s notice before the next billing cycle. Refunds will be processed within 30 days following cancellation.
  • Refunds: Upon cancellation, refunds for unused services will be issued within 30 days.

5. Data Responsibility and Extraction

  • Data Transfer: Users are responsible for their own data transfers.
  • Limitations: BoostOps cannot extract conversations such as emails or text messages. Contacts can be exported using filter options within the CRM.

6. HIPAA Compliance

  • BoostOps operates on HIPAA-compliant servers. For HIPAA-compliant use, a signed Business Associate Agreement (BAA) is required, with an additional fee of $700 per month.

7. Security and Limitation of Liability

  • BoostOps operates on secure servers, but users acknowledge that internet and telecommunications networks carry inherent security risks.
  • Liability: BoostOps is not liable for data loss, interception, or unauthorized access while data is in transit over the internet or telecommunications networks.

8. Onboarding Process

  • The standard onboarding process is approximately two weeks, subject to change based on individual user needs and requirements.

9. Third-Party Services and Integrations

  • Users are responsible for enabling and managing integrations with third-party services. BoostOps disclaims all liability for issues related to these services.
  • Disclaimer: BoostOps does not guarantee performance or support for third-party integrations.

10. Refund and Cancellation Policy

  • Refunds: Users who cancel with one week’s notice prior to the next billing cycle are eligible for refunds, processed within 30 days.
  • Cancellation Notice: Cancellations must be submitted at least one week before the next payment due date.

11. Intellectual Property

  • Ownership: BoostOps retains all rights, title, and interest in the platform and all related intellectual property. Users may not use BoostOps branding without permission.

12. Amendments to Terms

  • BoostOps may update these Terms periodically. Users will be notified of any significant changes, and continued use of the platform constitutes acceptance of the revised Terms.

13. Privacy and Data Usage

  • Data Collection: By using BoostOps, users consent to the collection, use, and sharing of data as outlined in our Privacy Policy.
  • Data Security: BoostOps takes data security seriously and uses industry-standard measures to protect user data.
  • Customer Data Responsibility: Users are responsible for maintaining compliance with all privacy laws regarding their customer data. BoostOps does not access or use customer data beyond platform functionality.

14. Communication Services

  • Service Charges: Additional charges may apply for SMS, MMS, and email communications initiated via BoostOps. Rates vary and will be billed as part of the monthly subscription.
  • Compliance: Users agree to comply with laws such as the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act when using BoostOps for outreach communications. BoostOps disclaims responsibility for non-compliance.

15. Prohibited Uses

  • Misrepresentation: Users must not misrepresent BoostOps or use the platform for illegal activities, spamming, phishing, or other unauthorized communications.
  • Security Risks: Users may not use automated systems, bots, or similar methods to access BoostOps, attempt unauthorized access, or introduce any malicious software.
  • Disallowed Content: Users are prohibited from posting, transmitting, or sharing any harmful or illegal content.

16. Intellectual Property and Licensing

  • Platform Ownership: All BoostOps software, features, and content are the intellectual property of BoostOps and protected by copyright and other laws.
  • Usage Rights: BoostOps grants users a non-exclusive, non-transferable license to use the platform for its intended purposes, which does not extend to resale, redistribution, or reverse engineering.

17. Termination and Suspension of Services

  • Grounds for Suspension: BoostOps may suspend or terminate accounts in cases of misuse, abuse, or violation of these Terms.
  • Effect of Termination: Upon termination, user access to the platform, data, and services will be revoked. Any outstanding payments will remain due.

18. Service Limitations and Updates

  • Performance Disclaimer: BoostOps operates on a tiered pricing model, and excessive data use may impact performance. If usage exceeds the designated limit, users may need to upgrade.
  • Updates and Changes: BoostOps reserves the right to update the platform, which may affect previous features or integrations.

19. Liability Limitations

  • Platform Liability: BoostOps is not liable for direct, indirect, incidental, or consequential damages resulting from the use or inability to use the platform.
  • Service Downtime: BoostOps does not guarantee uninterrupted service and is not liable for any downtime or disruption due to technical issues, maintenance, or other factors.

20. Dispute Resolution and Governing Law

  • Governing Law: These Terms are governed by the laws of the United States.
  • Dispute Resolution: In the event of a dispute, users agree to attempt mediation with BoostOps before pursuing further legal action.

21. Miscellaneous Provisions

  • Severability: If any part of these Terms is found to be unenforceable, the remainder will still apply.
  • Entire Agreement: These Terms, along with the Privacy Policy and any other agreements, represent the entire agreement between BoostOps and its users.

22. Acceptance of Terms

  • By using the BoostOps platform, users agree to all terms outlined in this agreement. BoostOps reserves the right to make changes at any time, with notification provided in the event of significant changes.
